Terms of Service
Welcome to Verdict Pursuit Intelligence. These Terms of Service govern your use of our platform and services. Please read them carefully before proceeding.
1. Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of verdictrfp.com (the “Site”) and the Verdict platform (the “Service”), operated by Verdict Pursuit Intelligence LLC (“Verdict,” “we,” “us”). By accessing the Site or using the Service, you agree to these Terms. If you are agreeing on behalf of an organization, you represent that you have authority to bind that organization.
2. Description of the Service
Verdict is an AI-powered platform that helps government contractors evaluate solicitations — producing evidence-based pursuit assessments --- source-cited case files, posture classifications, compliance gap analysis, and submission summaries --- and related bid/no-bid decision support. Verdict is a decision-support tool. You remain solely responsible for all bid, proposal, and compliance decisions you make, and Verdict does not guarantee any outcome, award, or win probability.
3. Accounts
To use the Service you must create an account with accurate information and keep your login credentials confidential. You are responsible for all activity under your account. Notify us promptly at the contact address below if you suspect unauthorized use.
4. Customer Content
“Customer Content” means the solicitations, company profiles, certifications, past performance records, and other material you or your organization submit to the Service. As between you and Verdict, you retain all ownership rights in your Customer Content.
You grant Verdict a limited, non-exclusive license to host, process, and analyze your Customer Content solely to provide and support the Service for your account. As between you and Verdict, you own the assessment outputs the Service generates from your Customer Content, and you may use them freely in your proposals and business; Verdict retains no rights in your use of those outputs.We do not use your Customer Content to train AI models, and our AI service providers are restricted under their API terms from using your Customer Content to train theirs. We may use de-identified, aggregated usage data (never your documents or their contents) to improve the Service.
You represent that you have the necessary rights to submit your Customer Content and that doing so does not violate any third party’s rights or any law, including applicable government procurement rules on the handling of solicitation materials.
5. Acceptable Use
You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to the Service or its underlying systems; (c) reverse-engineer, decompile, or attempt to extract the Service’s underlying models or source code; (d) use the Service to build a competing product; (e) upload content you do not have the right to submit; or (f) upload classified information, Controlled Unclassified Information (CUI), or export-controlled technical data (including data controlled under ITAR or EAR) --- the Service is not authorized to receive or process such information.
6. Fees and Payment
Fees for the Service are as set out in your order form or the pricing then in effect. Fees are billed in advance and are non-refundable except as required by law or as expressly stated in your order form. We may change our fees on renewal with advance notice.
7. Confidentiality
Each party agrees to protect the other party’s confidential information, including Customer Content, using at least the same degree of care it uses to protect its own confidential information of similar importance, and not less than reasonable care, and to use it only as needed to perform under these Terms. Neither party will use the other party's name, logo, or marks in marketing or publicity materials without the other party's prior written consent.
8. Intellectual Property
Verdict retains all right, title, and interest in and to the Service, including its software, models, assessment methodology, and all related intellectual property. These Terms do not grant you any rights to Verdict’s intellectual property except the limited right to use the Service as permitted here.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. VERDICT DOES NOT WARRANT THAT THE SERVICE’S SCORING, ANALYSIS, OR RECOMMENDATIONS WILL BE ACCURATE, COMPLETE, OR ERROR-FREE, OR THAT ANY BID DECISION MADE USING THE SERVICE WILL RESULT IN A CONTRACT AWARD.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERDICT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING FROM YOUR USE OF THE SERVICE. VERDICT’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE FEES YOU PAID TO VERDICT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify and hold Verdict harmless from any claims, damages, or expenses (including reasonable attorneys’ fees) arising from your Customer Content, your use of the Service in violation of these Terms, or your violation of any law or third-party right.
12. Term and Termination
These Terms remain in effect for as long as you use the Service. We may suspend or terminate your access for material breach of these Terms, including non-payment or violation of the Acceptable Use section. You may terminate by canceling your account. Sections that by their nature should survive termination — including Confidentiality, Intellectual Property, Disclaimers, Limitation of Liability, and Indemnification — will survive.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms will be brought exclusively in the state or federal courts located in Delaware, and each party consents to the personal jurisdiction of those courts.
14. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date above and, where appropriate, notify you by email or through a notice on the Site. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
